Ohashi & Horn LLP Closes Sale of Division of Major Japanese Medical Equipment Supplier to Leading Medical Technology Company.

Ohashi & Horn LLP announced the filing of an additional theft of trade secrets case in the United States District Court for the Northern District of Texas, Dallas Division, against manufacturers of coaters used in the production of flat panel displays.  The suit is the third suit filed on behalf of the Dallas-based technology company that created the technology at issue.  The previous cases were settled after the defendants agreed to enter into agreements that generated multi-million dollar payments to the client.

Ohashi & Horn LLP was recently selected by a publicly-traded Japanese corporation with over 650 restaurants throughout Japan to assist it in launching its U.S. operations. On November 11, 2005 the client executed definitive agreements (negotiated, drafted and structured by Ohashi & Horn LLP attorneys) to acquire four New York City restaurant concepts and a Queens food-preparation facility. The client intends to open additional locations and launch additional concepts in the United States in the near future and will look to Ohashi & Horn LLP for continued advice regarding a range of general corporate, commercial, tax and immigration matters.

The suit was filed on behalf of a Dallas-based technology company for which the firms serve as exclusive intellectual property litigation and licensing counsel. The suit alleges, among other things, theft and misappropriation of trade secrets and proprietary information related to patented technology used in various applications such as coating flat panel displays.

Ohashi & Horn LLP has been engaged to serve as intellectual property litigation and licensing counsel to a Dallas-based technology company.  The firms initially intend to file suit alleging infringement of several U.S. patents regarding extrusion coating technology used, among other things, to coat flat panel devises.  The firms are also investigating the possibility of filing an action with the U.S. International Trade Commission to exclude infringing devices from entering the U.S.  The firm will also assist in grooming and monetizing the client's intellectual property portfolio, including seeking out and negotiating with potential licensees.

Ohashi & Horn LLP Closes Acquisition of LayerOne

Ohashi & Horn LLP served as counsel to LayerOne in connection with its acquisition by Switch and Data.  LayerOne is a Dallas-based privately-held company that operates three data centers in Dallas, Miami and Chicago with network interconnection hubs in Los Angeles and New York.  Switch and Data is a leading Internet exchange provider. Ohashi & Horn LLP counseled LayerOne regarding the structure of the transaction, assisted in negotiating and drafting the key transaction documents, and assisted with the due diligence process and closing of the transaction.

Ohashi & Horn LLP Completes Negotiation of Joint Venture Relationship Between Tier 1 Toyota Supplier and Minority Partner

Ohashi & Horn LLP announced that it completed the negotiations underlying the formation of a Texas corporation created as a joint venture between a Tier 1 Toyota supplier and its Texas minority partner.  The resulting joint venture company will serve as a Tier 1 supplier at Toyota's new San Antonio plant.  Ohashi & Horn LLP also provided counsel regarding general corporate, commercial, real estate, tax and immigration matters.

Ohashi & Horn LLP was recently engaged by a well-known Japanese manufacturer of visual presentation equipment to conduct an in-depth analysis of its nation-wide state franchise tax obligations.  As part of the engagement, the firm negotiated the successful resolution of a desk audit of the client conducted by the Texas Comptroller, including eliminating penalties allegedly owed the state of Texas.
